In a key development, shareholders of Zee Entertainment Enterprises Ltd. have approved the appointments of Saurav Adhikari and Divya Rupchand Karani to the company’s board of directors through a postal ballot process conducted entirely via remote e-voting.
According to a BSE filing dated July 8, 2025, this resolution follows the postal ballot notice issued by the company on June 3, 2025, seeking shareholder approval for the two board-level appointments. The postal ballot process, conducted under the provisions of Sections 108 and 110 of the Companies Act, 2013, and Regulation 44 of SEBI Listing Obligations and Disclosure Requirements Regulations, 2015, concluded at 5 pm on Tuesday.
Based on the consolidated scrutinizer’s report submitted by Vinita Nair, Joint Managing Partner at Vinod Kothari & Co., the company confirmed that both resolutions received requisite majority approval. Accordingly, Saurav Adhikari has been appointed as Non-Executive, Non-Independent Director, liable to retire by rotation.
Additionally, Divya Rupchand Karani has been appointed as Non-Executive, Independent Director for a first term of three years, effective from January 23, 2025, to January 22, 2028.
The company stated that the detailed voting results and the scrutinizer’s report have been made available on its official website (www.zee.com) as well as on the e-voting platform of National Securities Depository Limited (www.evoting.nsdl.com).
These appointments come at a critical time as Zee continues to navigate an evolving media landscape, and the addition of experienced professionals to its board is expected to strengthen its strategic oversight and governance framework.
