NDTV has completed the acquisition of the GoodTimes lifestyle television channel from Lifestyle & Media Broadcasting Limited (LMBL), following approval from the Ministry of Information and Broadcasting (MIB) for the renewal and transfer of its broadcasting licence.
In a regulatory filing dated November 3, 2026, the broadcaster said the ministry had approved the renewal of GoodTimes’ uplinking and downlinking permission through a letter dated November 2. The approval also authorised the transfer of the broadcasting permission from LMBL to New Delhi Television Limited.
With the regulatory clearance in place and all conditions under the Asset Purchase Agreement fulfilled, NDTV confirmed that the transaction had been completed.
The acquisition was first proposed in September 2025 and covers GoodTimes’ broadcasting business and associated intellectual property rights for a consideration of up to Rs 18 crore. The deal structure includes cash and television advertising inventory, and is on a cash-free, debt-free basis, subject to adjustments under the agreement.
LMBL, a joint venture of NDTV, makes the transaction a related-party deal. NDTV had previously stated that the acquisition was being undertaken at arm’s length and was supported by an independent valuation from a registered valuer. The transaction involves the acquisition of the channel business as a going concern, rather than the purchase of a separate company.
NDTV’s board initially approved the proposed acquisition on September 19, 2025, when the company signed a binding term sheet with LMBL. The transaction was originally expected to close within approximately three months but remained pending regulatory approvals. NDTV later signed the Asset Purchase Agreement on August 14, 2026, with completion contingent on the transfer of the broadcasting licence and fulfilment of other conditions.
The MIB’s November 2 approval has now cleared the final regulatory requirement, bringing the transaction to a close more than a year after it was first announced.
GoodTimes’ Background and NDTV’s Live Entertainment Plans
GoodTimes was launched by NDTV in September 2007 as a lifestyle television channel covering food, fashion, travel, leisure and wellness.
The acquisition brings the channel’s broadcasting business directly under NDTV as the broadcaster continues to expand its presence in entertainment and live experiences.
In September 2025, NDTV announced a separate initiative under the NDTV Good Times brand, marking its entry into large-scale live entertainment and cultural events. The initiative included plans for performances by AR Rahman in Varanasi, Sonu Nigam in Srinagar, Shankar-Ehsaan-Loy, Jubin Nautiyal and Neha Kakkar, among others.
District was announced as the ticketing partner for the events, with NDTV planning to use its television, digital and social media platforms to promote them.
The acquisition of the GoodTimes television channel now places a lifestyle broadcasting business alongside NDTV’s live-events initiative. However, the company has not detailed how the two operations will work together.
